I assist with various business law issues, including the initial formation of a new business - whether as a for-profit or as a non-profit enterprise, and whether large or small.

I personally take my clients through the steps necessary to create a business. There are many decisions to be made. One of the key decisions is choosing the type of business entity or business structure that will best serve your particular needs. The options typically include Sole Proprietorship, Partnership, LLP (Limited Liability Partnership), LLC (Limited Liability Company), and Corporation. Each type of business entity carries its own set of trade-offs of difficulty and advantage.

I assist my clients with preparing the various documents that are necessary to form a new business whether those be articles of incorporation and bylaws, or organization agreements.

Every business will either make a profit or lose money, and its capital value will either grow or shrink. In any case, the tax implications are significant, and I strongly urge all my business clients to engage an accountant very early on in the life of their business.

Business Oversight

As time passes, relatively minor actions are essential to maintain the integrity of the business structure and keep it current in order to comply with law and changing circumstances. Almost all of this can be done by the persons involved once they understand what they need to do. Monitoring this is a part of routine business oversight.

Business Counseling

From time to time a business may need assistance with a particular aspect of its day-to-day operations: a form for a business proposal may need to be created in a way to avoid legal pitfalls; a contract may need to be drafted; a lease may need to be negotiated; or, a claim may need to be asserted or defended. These may, or may not, require legal assistance. This is a part of ongoing business counseling.
